Terms of Service

Last updated: October 26, 2026

Dubwise (the “Service”) is developed and operated by Functionsoft LLC (“we”, “us”). FRESHCODE LTD, UIC 205729768, VAT No. BG205729768, registered office at 8 Tsar Kaloyan Street, floor 3, office 2, Sredets District, Sofia 1000, Bulgaria, acts as Functionsoft’s Bulgarian commercial partner in connection with the distribution, billing coordination and operational support of the Service.

These Terms govern your access to and use of the Service, including the web application, the website at dubwise.app, paid plans, and related services. By creating an account, uploading a video, purchasing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Dubwise is a web application that dubs video. It transcribes the speech in a video you upload, translates it, speaks the translation with synthetic voices that are converted to resemble the voice of the original speaker (“voice cloning”), and, where you choose it, redraws the speaker’s mouth so that it matches the new audio (“lip sync”). You review and edit the result in an editor and export a video file. Parts of the Service are provided through third-party providers of speech recognition, translation, speech synthesis and computing, as listed in our Privacy Policy.

2. Eligibility and accounts

You may use the Service only if you can form a binding contract with us and are not barred from doing so under applicable law. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf. You sign in through a third-party sign-in provider; you are responsible for activity under your account and for keeping access to it secure. A first dub you start before signing in becomes part of the account you then sign in with.

3. License to use the Service

Subject to these Terms and to payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own lawful personal or internal business purposes. You do not acquire ownership of the Service, and all rights not expressly granted are reserved by us and our licensors.

4. Your content and the permissions you need

You keep all rights in the videos, audio, text and other material you upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, translate, modify and display Your Content, and to make the dubbed audio and video from it, solely to provide the Service to you, including through the providers named in our Privacy Policy. This license ends when Your Content is deleted from the Service, except for copies we must keep by law.

You confirm that, for everything you upload and everything you make with the Service:

5. Acceptable use

You agree to follow our Acceptable Use Policy. In particular, you agree not to, and not to allow anyone else to:

You are responsible for the content you upload and for how you use the dubbed audio and video, and for ensuring that this is lawful in your jurisdiction.

6. Generated output

Transcripts, translations, synthetic voices and lip-synced video are produced automatically and may contain errors: words misheard or mistranslated, lines that do not fit their timing, artefacts in a voice or a picture. The editor is there for you to review them; you are responsible for checking the output before you publish or rely on it. Subject to these Terms and the providers’ terms, the output made from Your Content is yours to use; we do not claim ownership of it and make no warranty that it is fit or cleared for any specific use.

7. Plans, minutes and limits

The Service is used in minutes of video. A free account may dub 10 minutes of video and lip-sync 10 minutes of video, once. A paid plan gives the number of dubbing minutes and lip-sync minutes per month shown on our pricing at the time of purchase.

8. Payments and Merchant of Record

Paid plans are sold and processed by an authorised Merchant of Record. The Merchant of Record applicable to your purchase is identified before payment and in your order confirmation or receipt. It is the legal seller for the relevant transaction and handles payment processing, applicable taxes, invoicing, fraud prevention, refunds and transaction support under its own buyer terms.

Functionsoft LLC remains responsible for the development and operation of the Service. FRESHCODE LTD acts as Functionsoft’s Bulgarian commercial partner.

Subscriptions are billed in advance, monthly or yearly, and renew automatically until cancelled. You can cancel at any time from “Manage subscription” in the app, through the link supplied by the Merchant of Record in your receipt, or by contacting support@dubwise.app. Cancellation stops future renewals and keeps your plan until the end of the period you paid for; it does not, by itself, refund the current period, except as set out in our Refund Policy or required by law. A change of plan takes effect when you make it and is prorated by the Merchant of Record. We may change prices or plan features prospectively; such changes do not affect a period you have already paid for.

9. Storage and deletion

We keep Your Content and the output made from it for as long as the file is in your library, so that you can open, edit and export it again. When you delete a file, we delete it and everything made from it; the uploaded video is deleted shortly afterwards. The Service is not a backup service: keep your own copies of your originals and exports.

10. Third-party websites and services

The Service interacts with, and relies on, third-party websites and services. We do not control and are not responsible for them, their content, or their terms, and your use of them is at your own risk and subject to their terms.

11. Intellectual property

The Service, including its software, source code, design, user interface, text, and trademarks, is owned by us or our licensors and is protected by intellectual property laws.

12. Availability and changes to the Service

We may update, change, limit, or discontinue all or part of the Service, with or without notice, to the extent permitted by law. We aim to keep the Service available, but do not guarantee uninterrupted or error-free operation, or that every video can be processed.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including mandatory consumer rights.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid for the Service through the applicable Merchant of Record in the twelve months before the event giving rise to the liability, or EUR 50. This does not limit liability that cannot be limited under applicable law, including mandatory consumer rights.

15. Indemnity

To the extent permitted by law, if you use the Service in breach of these Terms or applicable law, including by uploading content you have no right to or cloning a voice without consent, you will indemnify and hold us harmless from claims, losses, and reasonable costs arising from that use. This clause does not apply to consumers where prohibited by law.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, and remove content, if you breach these Terms or the Acceptable Use Policy, fail to pay applicable fees, create a legal or security risk, or use the Service in a prohibited or abusive way. On termination, the license granted to you ends, and provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and governing law) will survive.

17. Changes to these Terms

We may update these Terms from time to time, for example, to reflect changes in the Service, the law, or our business. We will post the updated version on this page and update the “Last updated” date, and where changes are material, we will provide reasonable notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

18. Governing law and disputes

If you are a consumer resident in the EU or EEA, these Terms and your use of the Service are governed by the laws of your country of residence, you keep the mandatory consumer protections of that country, and you may bring proceedings before the courts of that country. For all other users, and to the extent permitted by law, these Terms are governed by the laws of Ireland, and the courts of Ireland have non-exclusive jurisdiction. Consumers may have access to alternative dispute resolution procedures made available by competent consumer protection bodies in their country of residence.

19. Feedback

If you choose to send us feedback, ideas, or suggestions about the Service, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use them for any purpose, including to improve the Service, without any obligation or compensation to you.

20. General

These Terms, together with our Privacy Policy, Refund Policy and Acceptable Use Policy, form the entire agreement between you and us regarding the Service and replace any prior agreements on that subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control. We may give you notices through the Service, the website, or the email address associated with your account or purchase.
